Terms of Service
Last updated
The agreement between you and ShipPilot. The short version: we are software, not a carrier — you ship on your own UPS and FedEx accounts, and your agreement with those carriers governs every parcel.
Draft — not reviewed by a lawyer
This page was written by the team building ShipPilot to describe, accurately, what the software actually does with personal data. It is not legal advice, it has not been reviewed by a qualified lawyer, and it should not be relied on as a binding policy until it has been. Anything in [SQUARE BRACKETS] is a detail only the operator can supply.
Read this first: the service is pre-release
The draft notice above is not a formality, and neither is this section. Some terms below describe how ShipPilot is intended to work rather than how this build behaves today. The differences that matter:
- Nothing charges anyone yet. The checkout exists, but it is not connected to live payments and no subscription is billed. Everything under “Plans, trial and billing” describes intended behaviour and takes effect only once billing is switched on. Labels themselves are charged by the carrier to the account you connected, and always were — see We are not a carrier.
- No export. There is no self-service export of your data. See Ending the agreement.
Everything else is real, stored, and survives a restart: accounts and sign-in, email, shipments, contacts, addresses, companies and workspace settings; rate quotes from the carrier accounts you connect; buying a label, which issues a real tracking number and a real label file; voiding one; tracking, which asks the issuing carrier for scans and shows them to you and to whoever holds the recipient link; and the Copilot. An earlier version of this section said that no label was bought and nothing was tracked. Both were true when written and stopped being true in August 2026; this page was not updated with them. The Privacy Policy sets out what is kept and who receives it, including what goes to UPS and FedEx when we ask them for a price or buy a label.
Nothing here should be read as a claim that a feature exists because the contract anticipates it.
Who you are agreeing with
These terms are an agreement between you — and, if you sign up for a company, that company — and [LEGAL ENTITY NAME] of [REGISTERED ADDRESS], which operates ShipPilot (“we”, “us”, “our”). Creating an account or using ShipPilot means you accept them.
You must be old enough to enter into a contract where you live. If you are signing up on behalf of an organisation, you confirm you are authorised to bind it, and “you” means that organisation.
What ShipPilot is
ShipPilot is a multi-tenant shipping platform. You connect your own UPS and FedEx accounts to a workspace; ShipPilot compares the rates those accounts return, creates labels against those accounts on your behalf, and keeps the resulting shipments, contacts and tracking in one place.
What you pay us for is access to that software. It is separate from, and additional to, whatever your carriers charge you for carriage.
We are not a carrier
ShipPilot is not a carrier, a freight forwarder, a broker, or a reseller of postage. We do not buy, resell or mark up carrier rates. The rates you see are the rates your own carrier accounts return, and the carrier bills you directly under the agreement you hold with them.
Every shipment you create is carried under that agreement — the carrier’s tariff, service guide, and terms and conditions of carriage, including their rules on prohibited items, packaging, declared value, insurance, claim windows and limits of liability. Those rules apply to you whether or not the label was made here.
Loss, damage, delay, missed or misdelivered parcels, surcharges, address corrections, adjusted billing weights, refunds and claims are between you and the carrier. We can help you find the record of what was sent. We cannot file, settle, pay or overturn a carrier’s decision on a claim, and we are not liable for one.
Rates, service names, transit times and delivery estimates shown in ShipPilot come from the carrier. They are the carrier’s figures, quoted as received — not a promise by us that a parcel will arrive by a given time or cost a given amount.
UPS® and FedEx® are registered trademarks of their respective owners. ShipPilot is not affiliated with, endorsed by, or sponsored by UPS or FedEx.
Your account and your workspace
Signing up creates one workspace and makes you its owner. The information you give us — your name, your email address, your company details, your carrier account numbers — must be accurate, and you must keep it current. Ship-from addresses and carrier account details are used to produce real labels: wrong details produce wrong labels, and that cost falls on you.
You are responsible for your credentials and for everything done with them. Do not share a login — invite a member instead. Tell us at [email protected] as soon as you believe an account has been compromised.
A workspace has three roles:
- Owner — the person who created the workspace. Full control, including billing and closing the account.
- Admin — can manage the workspace, its members and its carrier connections, but cannot outrank the owner.
- Staff — day-to-day use: creating shipments, labels and records.
The owner is responsible for what every member of their workspace does with it — including shipments created by staff and carrier accounts connected by an admin. Members act for the workspace, and the workspace answers for them.
Each plan includes a number of seats. Adding members beyond your plan’s allowance means moving to a plan that covers them.
Acceptable use
Using ShipPilot, you agree not to:
- ship anything unlawful, or use the service to break any law, sanction or export control that applies to you or to your shipment;
- ship goods a carrier prohibits, or ship hazardous or dangerous goods contrary to that carrier’s rules — where a carrier permits them, meeting their declaration, packaging, labelling and training requirements is entirely your responsibility;
- connect a carrier account you are not authorised to use, or use anyone else’s credentials;
- attempt to reach data belonging to another workspace, or probe, scan or work around the tenancy boundaries, access controls or rate limits that keep workspaces apart;
- resell, sublicense, rent or operate ShipPilot as a service for others, except through the white-label features your plan actually includes and within the limits of that plan;
- scrape, bulk-extract or automate access outside any API your plan includes, reverse engineer the service, or interfere with its operation or with other customers’ use of it;
- upload personal data about your recipients that you have no lawful basis to hold or to give us.
We may suspend a workspace, with as much notice as the circumstances allow, where use of it puts the platform, another customer, or a carrier relationship at risk.
Your customers’ data
The contacts, addresses and shipment details you put into ShipPilot are about people who never signed up here: they are your customers, not ours. That split decides who is responsible for what.
For recipient data you are the controller and we are the processor. You decide what to collect and why; we process it on your instructions in order to run the service for you. You are responsible for having a lawful basis to collect and upload it, and for giving those people whatever notice the law where they live requires.
We do not sell that data, use it for advertising, or use it to train models. If a recipient contacts us directly to access, correct or delete their details, we will point them at you — we do not action a request against your records on someone else’s say-so.
One limit is worth stating here as well as in the privacy policy: a shipment record stores the ship-from address, ship-to address and contact name as a snapshot taken when the shipment was created, so a label does not change meaning when someone later edits a contact. Correcting a contact updates the contact; it does not rewrite shipments already made from it.
What we collect, where it is stored, who processes it and for how long is set out in the Privacy Policy, which forms part of these terms.
Plans, trial and billing
Not yet in effect. This build collects no payment method and issues no charge. This section describes how billing is intended to work, and applies only once billing is switched on and you have chosen a paid plan.
ShipPilot is sold as flat monthly or annual subscriptions — Starter, Growth, Scale, Enterprise — each with its own seat allowance and feature set. Current prices, seat counts and inclusions are on the pricing page; Enterprise is quoted separately.
- Trial. A new workspace gets 14 days free and needs no payment method. The trial does not turn itself into a paid subscription: a paid plan begins only when you choose one and provide payment details.
- Subscription fees are charged in advance — monthly plans each month, annual plans each year at the annual rate — and renew automatically until cancelled.
- What the fee does not cover: carriage. Your carriers bill you directly for postage, surcharges and adjustments on your own accounts. We never charge you for a label.
- Taxes. Prices exclude sales tax, VAT and similar taxes, which you pay in addition where they apply.
- Price changes take effect at your next renewal, and we will tell you before that renewal.
- Cancellation takes effect at the end of the period you have paid for; you keep access until then. Fees already paid are not refunded except where the law requires it.
- Non-payment. If a payment fails we will tell you and give you a reasonable chance to fix it before suspending the workspace.
Availability and support
There is no uptime commitment on Starter or any other self-serve plan. We work to keep ShipPilot available and to keep maintenance short and announced, but self-serve plans carry no service level agreement, no guaranteed uptime percentage and no service credits. An uptime commitment is an Enterprise term, agreed in writing in that customer’s own contract.
The service also depends on things we do not control — carrier systems, network providers, and our hosting and DNS providers. When a carrier’s systems are down, rates and labels are unavailable here too.
Support is by email at [email protected]. Response times are not guaranteed except where a plan or a signed contract says otherwise.
We may change, add or remove features. We will not materially reduce the core function of a paid plan without telling you in advance.
Warranties, and what we do not warrant
ShipPilot is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
We specifically do not warrant that:
- the service will be uninterrupted, timely, secure or error-free;
- rates, service names, transit times or delivery estimates are accurate — they come from the carrier, and the carrier’s own figures govern;
- a label will be accepted, a parcel will be collected, or a shipment will arrive by any particular time;
- any suggestion the product makes about a shipment is correct. Where ShipPilot drafts or extracts shipment details for you, that is a starting point to be checked before a label is created — not a decision made on your behalf.
Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.
Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost sales, lost business, loss of goodwill, or loss or corruption of data, however caused.
We are not liable for the goods you ship or for what a carrier does with them. The value of a lost or damaged parcel is a matter between you and the carrier, under the carrier’s declared-value, insurance and claims rules. That exposure sits outside these terms entirely and is not covered by the cap below.
Our total liability arising out of or relating to these terms, for all claims taken together, is limited to the fees you paid us in the twelve months before the event giving rise to the claim. Where you have paid us nothing, our total liability is limited to resupply of the service.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.
Indemnity
You agree to defend, indemnify and hold us harmless against claims, losses, penalties and reasonable legal costs arising from:
- the shipments you create and the goods inside them;
- your breach of a carrier’s terms, tariff or shipping rules;
- personal data you upload without a lawful basis, or in breach of your obligations as its controller;
- your breach of these terms, or of any law that applies to your use of the service;
- anything done through your workspace by a member you invited.
Ending the agreement
You may stop using ShipPilot and close your workspace at any time. Cancelling a paid plan takes effect at the end of the period you have paid for.
We may terminate for material breach — including non-payment or unlawful use — after telling you and giving you a reasonable opportunity to put it right where that is practicable. Where use of the service endangers the platform, another customer, or a carrier relationship, we may suspend first and explain immediately after.
When a workspace closes, however it closes:
- access to the app ends;
- we intend your workspace data to stay retrievable for a stated period, during which you can ask us for a copy of your shipments, contacts and addresses, and to be deleted after that period — along with any carrier credentials we hold for you;
- neither of those is built, so neither is a commitment yet. There is no export in the product, nothing deletes shipping or account data on a timer (the one scheduled deletion is of stale Copilot conversations — see the Privacy Policy), and workspace deletion is deliberately disabled in our own API. Today a copy and a deletion are both a request to [email protected], carried out by hand. We are not quoting a number of days that nothing in the software can honour, and the Privacy Policy says the same in its retention section rather than setting a schedule this section can point at;
- records we are required to keep — billing and tax records, for example — are kept for as long as the law requires, and no longer.
[FOR LEGAL REVIEW: the length of the retrieval window, and whether it may be committed to at all before an export and a deletion mechanism exist. It is the same determination as the retention periods in the Privacy Policy, it has to be made once, and both pages have to change in the same commit.]
The sections on your customers’ data, warranties, liability, indemnity and governing law survive termination.
Changes to these terms
We may update these terms. When a change is material we will give notice before it takes effect, by publishing the new version here with a new “last updated” date and by notifying the owner of each workspace.
In practice the dated page is the notice: nothing in the product mails workspace owners when these terms change. We can send transactional email, but no such notification is built, so check the date above rather than relying on hearing from us. Continuing to use ShipPilot after a change takes effect means you accept the updated terms; if you do not accept them, stop using the service and cancel.
Governing law
These terms are governed by the laws of [GOVERNING JURISDICTION], and the courts of [GOVERNING JURISDICTION] have exclusive jurisdiction over any dispute arising from them — without affecting any right you have under the mandatory law of the country you live in.
General
If any part of these terms is found unenforceable, the rest stays in force. A delay in enforcing a term is not a waiver of it. You may not assign this agreement without our written consent; we may assign it as part of a merger, acquisition or sale of assets, on notice to you. These terms, together with the Privacy Policy and any order form signed with us, are the entire agreement between us about ShipPilot, and replace any earlier understanding about it.
